These Terms & Conditions ("Terms") govern your access to and use of the website at kairos-tek.com (the "Website") and all services offered by:

References to "Kairos Tek", "we", "us", or "our" in these Terms mean JCR Kairos Team Ventures LTD. References to "you" or "your" mean any individual or entity accessing the Website or engaging our services.

2. Acceptance of Terms

By accessing or browsing the Website, submitting an enquiry, or entering into a service engagement with Kairos Tek, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy and Cookie Policy, which are incorporated herein by reference.

If you do not agree with any part of these Terms, you must stop using the Website immediately and must not engage our services. If you are accepting these Terms on behalf of a legal entity, you represent and warrant that you have the authority to bind that entity.

Use of the Website is permitted only by persons aged 18 or over. By using the Website you confirm that you meet this requirement.

3. Services

Kairos Tek provides the following categories of professional services to enterprises, start-ups, and organisations:

  • AI Product Development — end-to-end design, engineering, and delivery of artificial intelligence products, including prototypes, MVPs, and production-grade systems.
  • AI Consulting — strategic advisory on AI adoption, technology selection, architecture, and implementation roadmaps.
  • Training — bespoke training programmes and workshops on AI, blockchain, and related technologies for corporate teams, universities, and professional audiences.
  • Blockchain Development — development of smart contracts, decentralised applications, and integrations on the Qubic network and other blockchain platforms.

The Website provides general information about Kairos Tek and its services. The Website does not itself constitute or form any part of a service agreement. Individual service engagements are governed solely by the written statement of work or services agreement executed by both parties.

We reserve the right to refuse service to any individual or entity at our sole discretion, including where we determine that a proposed engagement conflicts with applicable law or our ethical standards.

4. Intellectual Property

All content on the Website — including but not limited to text, articles, graphics, photographs, illustrations, logos, brand marks, source code, software, and the selection and arrangement of such content — is owned by or licensed to JCR Kairos Team Ventures LTD and is protected by copyright, trade mark, and other intellectual property laws of Cyprus and applicable international conventions.

The following are trade marks and brand identifiers of Kairos Tek, whether registered or unregistered:

  • Kairos Tek — the trading name and brand of JCR Kairos Team Ventures LTD.
  • EasyConnect — a Kairos Tek product that enables Qubic smart contract connectivity.
  • QBuild — a Kairos Tek product providing audit and testing tooling for Qubic smart contracts.
  • NevTrace — legacy brand and trade mark associated with the founders' prior blockchain research activities.

You are granted a limited, non-exclusive, non-transferable licence to access and view the Website for your personal or internal business information purposes only. This licence does not permit you to: (a) copy, reproduce, distribute, or republish any part of the Website without our prior written consent; (b) modify or create derivative works; (c) use any trade marks, logos, or brand elements without our prior written permission; or (d) scrape or systematically extract data from the Website.

Open-source components used in our products are governed by their respective licences, which take precedence over these Terms to the extent of any conflict.

5. Disclaimer of Warranties

The Website and all information published on it are provided on an "as is" and "as available" basis without any representation or warranty, express or implied. To the fullest extent permitted by applicable law, Kairos Tek disclaims all warranties including, without limitation:

  • implied warranties of merchantability, fitness for a particular purpose, and non-infringement;
  • any warranty that the Website will be uninterrupted, error-free, or free of viruses or harmful components;
  • any warranty as to the accuracy, completeness, currency, or reliability of any content or information published on the Website.

Nothing on the Website constitutes legal, financial, investment, regulatory, or technical advice. You should seek independent professional advice before acting on any information found here.

6. Limitation of Liability

To the maximum extent permitted by applicable law, Kairos Tek, its directors, employees, contractors, and agents shall not be liable for any loss or damage of any kind arising out of or in connection with your use of the Website or reliance on its content, including but not limited to:

  • indirect, incidental, special, consequential, or punitive damages;
  • loss of profits, revenue, data, business, or anticipated savings;
  • business interruption or loss of business opportunity.

Where liability cannot be excluded by law, our total aggregate liability to you shall be limited to the greater of (a) the fees paid by you to Kairos Tek in the twelve months preceding the event giving rise to the claim, or (b) EUR 100.

Nothing in these Terms limits or excludes our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable law.

7. User Conduct

When using the Website or communicating with us through any channel, you agree that you will not:

  • use the Website for any unlawful purpose or in any way that violates applicable laws or regulations;
  • submit false, misleading, or fraudulent information through any form or contact mechanism;
  • attempt to gain unauthorised access to any part of the Website, its servers, or any system connected to it;
  • transmit any malicious code, viruses, or other harmful software;
  • engage in any conduct that could damage, disable, overburden, or impair the Website or interfere with other users' access;
  • harvest or collect email addresses, personal data, or other information from the Website without our consent;
  • use the Website to send unsolicited commercial communications (spam).

We reserve the right to take appropriate legal action and to report any conduct that we believe constitutes an unlawful act to relevant authorities.

The Website may contain links to third-party websites, platforms, tools, or resources (for example, GitHub repositories, Qubic network resources, event pages, or partner websites). These links are provided for your convenience and information only.

Kairos Tek has no control over the content, privacy practices, or availability of third-party websites and does not endorse or accept responsibility for them. Accessing third-party sites is entirely at your own risk and subject to those sites' own terms and policies. 9. Privacy and Cookies

Your use of the Website is also governed by our Privacy Policy and Cookie Policy. By using the Website you consent to the processing of your personal data as described in those documents. We encourage you to read those policies carefully.

10. Confidentiality

Any information you share with us through the contact form, email, or during an initial consultation is treated as confidential. However, information shared prior to the execution of a formal non-disclosure agreement does not create any confidentiality obligation on Kairos Tek beyond what is required by applicable data protection law. Formal service engagements may include specific confidentiality provisions in the relevant services agreement.

11. Governing Law

These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the Republic of Cyprus, specifically including the Companies Law (Cap. 113) and all relevant legislation implementing EU directives.

Nothing in this clause shall limit your rights as a consumer under the mandatory laws of the country in which you are ordinarily resident.

12. Dispute Resolution

We encourage you to contact us in the first instance at info@kairos-tek.com to resolve any dispute informally. We will endeavour to respond within 10 business days.

If a dispute cannot be resolved amicably within 30 days of written notification, both parties submit to the exclusive jurisdiction of the competent courts of the Republic of Cyprus. For consumers residing in the European Union, you may also make use of the European Commission's Online Dispute Resolution platform at ec.europa.eu/consumers/odr.

13. Changes to These Terms

We reserve the right to amend these Terms at any time to reflect changes in our services, applicable law, or business practices. When we make material changes, we will update the "Last updated" date at the top of this page. The current version of these Terms will always be available at kairos-tek.com/legal/terms.

Your continued use of the Website after the publication of revised Terms constitutes your acceptance of those changes. If you do not agree to the revised Terms, you should stop using the Website.

14. Severability and Entire Agreement

If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and Kairos Tek with respect to your use of the Website and supersede all prior discussions, representations, or agreements relating to the same subject matter.
